VAPE TV LTD, PROVIDES THE SERVICE TO YOU SUBJECT TO THESE TERMS AND CONDITIONS OF USE (THESE "TERMS") BUT DOES NOT ALTER ANY ADDITIONAL/SEPARATE TERMS AS AGREED TO IN THE AGREEMENT. PLEASE READ THESE TERMS CAREFULLY BEFORE ENTERING AGREEMENT. BY ENTERING AGREEMENT, YOU EXPLICITLY AGREE TO COMPLY WITH AND BE BOUND BY THESE TERMS AND ALL TERMS, POLICIES AND GUIDELINES INCORPORATED BY REFERENCE HEREIN. IF YOU DO NOT AGREE TO ALL PROVISIONS OF THESE TERMS, DO NOT AGREE TO THIS SERVICE.
These Terms do not alter in any way the terms or conditions of any other agreement you may have with The Vape TV Ltd or its affiliates for products, services or otherwise. The Vape TV Ltd does not reserve the right to change or modify any of the terms and conditions contained in the Agreement, or any policy or guideline of the Agreement, at any time unless agreed by the Advertiser.
You must be eighteen (18) years or over to agree to contract as a Client and use The Vape TV Ltd’s Services. Any agreement is void where prohibited. Upon signature, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions herein and as outlined on the Agreement. You further represent and warrant that all information you submit is truthful and accurate and that you agree to maintain the accuracy of such information. Your Agreement may be terminated without warning and you may be barred from any future Services if you provide any information that is untrue, inaccurate, not current, or incomplete, including but not limited to misrepresenting your age, or if The Vape TV Ltd has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or incomplete. You are solely responsible for all content published or displayed in your Feature.
Unless otherwise stated, the Publications, the Website, and all text, images, marks, logos and other content contained herein, including, without limitation, the The Vape TV Ltd logo and all designs, text, graphics, pictures, information, data and all other files are the proprietary property of The Vape TV Ltd. Hence, the use of any robot, spider, site search/retrieval application, or other automated device, process or means to access, retrieve, scrape, or index the site or any site Content is prohibited.
The Vape TV Ltd logo and all other product or service names or slogans displayed on the Agreements, Publications, Website or any other material it is contained, are registered and/or common law trademarks of The Vape TV Ltd, and/or its suppliers or licensors, and may not be copied, imitated or used, in whole or in part, without the prior written permission of The Vape TV Ltd or the applicable trademark holder. In addition, the look and feel of the Publication guides, including all page headers, custom graphics, features and scripts, is the service mark, trademark and/or trade dress of The Vape TV Ltd and may not be copied, imitated or used, in whole or in part, without the prior written permission of The Vape TV Ltd.
The Vape TV Ltd assumes no responsibility for incorrect information collected from any of the Clients included in any Publications affiliated with The Vape TV Ltd. The Vape TV Ltd is not responsible for any arrangements made between you and any third parties to the Agreement.
A minimum deposit of 50% of the total cost of the Agreement, is payable to The Vape TV Ltd upon signature, unless otherwise agreed. This deposit is fully refundable to the Client only if the Publication fails to go ahead within the project term, or if the Client is Vetoed by the Venue for which the Publication is for, and there is no other Publication produced by The Vape TV Ltd available within a radius of [10] miles from the location of the original Venue. For any other reasons the "deposit" is non-refundable to the Advertiser.
The Client is responsible for paying the balance of the Agreement cost directly to The Vape TV Ltd, on the dates agreed in the Agreement.
(a) You understand and agree that the sole responsibility is the your own (client), for obtaining and paying for all necessary licences and consents for the display of any feature material contained in the publication. (b) You warrant that the you (as client) are not in breach of the copyright or any other rights of any third party. (c) You warrant, undoubtedly that the feature does not promote, or is in any way connected, to the sale or promotion of any goods or services relating to illegal drugs, being of a sexual nature (whether pornographic or otherwise) or would otherwise be contrary to public decency or in contravention of any law.
The Vape TV Ltd makes no warranties or representations about the accuracy or completeness of the Client’s content or the content of any Features linked to its Publications and assumes no liability or responsibility for: (a) errors, mistakes, or inaccuracies in Content; (b) personal injury or property damage, of any nature whatsoever, resulting from this Service or Agreement; (c) any indirect, consequential economic losses, howsoever arising. (d) any product or service advertised or offered by a third party through the The Vape TV Ltd website or any hyperlinked website or featured in any banner or other advertising, and The Vape TV Ltd will not be a party to or in any way be responsible for monitoring any transaction between you and third-party providers of any services.
The foregoing limitation of liability shall apply to the fullest extent permitted by law in the jurisdiction of England & Wales. The Vape TV Ltd’s liability to the Client shall, save as provided, be limited to the Price or such monies paid by the Client to The Vape TV Ltd under the Agreement, whichever is lesser.
If any provision of these Terms is deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of any remaining provisions.
